Terms of Service

1. Acceptance of Terms

By accessing or using Draftpe, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies referenced here. If you do not agree, you must not use the Platform.

Where you use the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" includes that entity.

2. Eligibility to Use the Platform

You must be at least eighteen (18) years of age and capable of entering a binding contract under applicable law. The Platform is intended for users in India and for Indian legal document use-cases, although access may be available from other locations subject to local law.

You may not use the Platform if you are barred from doing so under applicable law or if we have previously suspended or terminated your account for breach of these Terms.

3. User Accounts

Certain features require registration. You agree to provide accurate, current, and complete information and to keep your account details up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Notify us promptly at contact@draftpe.com if you suspect unauthorized access. We may suspend or restrict accounts to protect the Platform, other users, or our business.

4. Platform Services

Draftpe provides software and related services that may include, as available on the Platform from time to time:

• AI-assisted document drafting: guided wizards that collect information you provide and use artificial intelligence to generate drafts of common legal-style documents (for example rental agreements, non-disclosure agreements, freelancer contracts, employment offer letters, affidavits, and other templates listed on the Platform).
• Document export: downloadable outputs in formats such as PDF and, where your plan permits, DOCX.
• Language options: generation in English and, where supported, Hindi.
• AI Contract Explainer: plain-language summaries of uploaded contracts for educational purposes.
• AI Risk Explainer: educational risk insights and scoring based on uploaded contracts.
• Simple Signature: tools to place a signature image on an existing PDF.
• Optional lawyer review: a separate service through which your document may be reviewed by an independent legal professional (see Section 8).
• Account features: document history, dashboards, referrals, and subscription or pay-per-use billing as described on the pricing pages.

Draftpe generates AI-assisted legal document drafts and templates based on information you supply. We provide drafting assistance and document preparation tools. We do not provide legal advice, legal representation, or regulated legal services, and use of the Platform does not create an attorney-client relationship between you and Draftpe.

5. No Legal Advice

Information, templates, explanations, and outputs available through Draftpe are provided for general informational and drafting assistance purposes only. Nothing on the Platform constitutes legal, tax, regulatory, or professional advice.

Documents are generated using AI assistance and automated systems. Laws, court practice, stamp duty, registration requirements, and factual circumstances vary. You remain solely responsible for reviewing, editing, and validating any document before signing, sharing, filing, registering, or relying on it.

For important, high-value, disputed, or complex matters, you should consult a qualified advocate or other appropriate professional licensed in India. Draftpe does not recommend or endorse any specific course of action based on your situation.

6. AI-Generated Content

The Platform uses third-party AI systems (including OpenAI models) to generate and analyse content based on your inputs. You acknowledge and agree that:

• AI-generated content may be incomplete, inaccurate, outdated, inconsistent, or unsuitable for your specific purpose, jurisdiction, or transaction.
• AI outputs may omit important clauses, include incorrect party details if your inputs are wrong, or fail to reflect recent legal changes.
• You must independently verify all names, dates, amounts, addresses, governing law, signatures, schedules, and legal effect before use.
• Draftpe does not guarantee the accuracy, enforceability, validity, completeness, or fitness of any output for any particular filing, registration, dispute, or commercial purpose.
• AI explainers and risk reports are educational tools only; they are not legal opinions or predictions of litigation outcomes.

Your use of AI-generated content is at your own risk. The Platform is not a substitute for professional judgment or independent legal review.

7. User Responsibilities

You are responsible for:

• Providing accurate and lawful information in document wizards and service forms.
• Reviewing all generated drafts, exports, and AI analyses before use.
• Ensuring your documents comply with applicable central, state, and local laws, including stamp duty, registration, labour, tax, and sector-specific rules where relevant.
• Using outputs only for lawful purposes and in a manner consistent with these Terms.
• Obtaining all necessary consents before uploading third-party contracts or personal data about others.
• Maintaining your own backups of important documents where required.

You retain responsibility for how you use, execute, amend, or distribute any document created with or through the Platform.

8. Lawyer Review Services

Where offered, lawyer review is an optional add-on service. If you purchase lawyer review, your document and instructions may be shared with an independent legal professional or partner network for the purpose of providing feedback within the scope described at checkout.

Unless expressly stated otherwise in writing for a specific engagement, Draftpe itself does not provide the legal review and does not act as your lawyer. Any advice given during a lawyer review service is provided by the reviewing professional, not by Draftpe. Scope, turnaround, and deliverables may vary by document type and plan.

Lawyer review does not guarantee a particular legal outcome, court acceptance, or enforceability. You remain responsible for deciding whether to follow any feedback received.

9. Payments and Subscriptions

Paid features are priced in Indian Rupees (INR) unless stated otherwise. Current commercial offerings on the Platform may include:

• Free tier: limited monthly document generation for registered users, as described on the pricing page.
• Pay-per-document: one-time purchase (currently ₹129 per document, subject to change) when your free quota is exhausted or where payment is required before download.
• Pro subscription: recurring access with a monthly document allowance and additional features (currently ₹499/month, subject to change).
• Business subscription: expanded access including higher or unlimited generation and included services (currently ₹999/month, subject to change).
• AI and review services: pay-per-use or plan-included access to explainers, risk reports, and lawyer review as shown at checkout.

Payments are processed by Razorpay. We do not store your full card or UPI credentials on our servers. Razorpay's terms and privacy notice apply to payment processing. Taxes such as GST may apply as shown at checkout.

Subscriptions renew for successive billing periods unless cancelled before renewal in accordance with our policies. Failed or reversed payments may result in suspension of paid features until valid payment is received. We may change prices, plans, or feature limits by updating the Platform and, where required, notifying you before they take effect for future billing periods.

10. Refund Policy

Because Draftpe delivers digital services that often begin immediately after payment, refunds are limited. Our full rules are set out in our Refund and Cancellation Policy, which forms part of these Terms. In summary:

• Refunds are generally not provided for change-of-mind once paid features have been used (for example, after a document has been generated or exported).
• We will review duplicate charges, clear billing errors, and cases where payment succeeded but paid access could not be provided due to a fault on our side, as described in the Refund Policy.
• Approved refunds are processed through Razorpay subject to banking timelines. Contact contact@draftpe.com with your registered email and Razorpay payment ID.

Nothing in these Terms limits any non-waivable rights you may have under applicable consumer protection law in India.

11. Intellectual Property

The Platform, including its software, design, branding, workflows, template structures, and proprietary content created by Draftpe, is owned by us or our licensors and protected by intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal or internal business purposes.

You retain ownership of information and content you submit. You grant Draftpe a licence to host, process, transmit, display, and use that information solely to operate, secure, improve, and provide the Services, including generating requested outputs and maintaining document history where enabled.

You may use generated document outputs for your lawful purposes, but you may not resell, publicly redistribute, or misrepresent the Platform's templates as official court or government forms.

12. Prohibited Uses

You agree not to:

• Use the Platform for unlawful, fraudulent, harassing, defamatory, or deceptive purposes.
• Misrepresent Draftpe or AI outputs as formal legal advice, court filings, or government-issued documents.
• Upload malware, unlawful content, or material that infringes intellectual property, privacy, or other rights of third parties.
• Attempt to gain unauthorized access to accounts, systems, APIs, payment flows, or other users' data.
• Scrape, reverse engineer, overload, or interfere with the Platform except as permitted by law.
• Use automated means to abuse free tiers, referrals, promotions, or payment systems.
• Circumvent technical limits, access controls, or billing requirements.

We may investigate violations and suspend or terminate access, remove content, or report activity to authorities where appropriate.

13. Limitation of Liability

To the maximum extent permitted by applicable law, the Platform and all content, outputs, and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, Draftpe does not warrant that outputs will be error-free, legally sufficient, enforceable, accepted by any authority, or suitable for any specific transaction.

To the fullest extent permitted by law, Draftpe and its owners, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings, arising from or related to:

• Your use of or inability to use the Platform.
• Any AI-generated document, explanation, or risk report.
• Your reliance on, execution of, or sharing of generated content.
• Errors, omissions, or delays in outputs or third-party services.
• Actions or advice of independent lawyers engaged through optional review services.

Our aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the total fees you paid to Draftpe in the three (3) months immediately before the event giving rise to the claim, or (b) INR 2,000, except where liability cannot be limited under applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Draftpe and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Platform or generated outputs.
• Your content, inputs, or uploaded documents.
• Your violation of these Terms or applicable law.
• Your infringement of third-party rights.
• Disputes between you and any third party relating to documents created or used through the Platform.

15. Service Availability

We strive to keep the Platform available and secure, but uninterrupted or error-free operation is not guaranteed. Maintenance, upgrades, third-party outages (including AI, hosting, or payment providers), and events beyond our reasonable control may cause delays or temporary unavailability.

We may modify, suspend, or discontinue features with reasonable notice where practicable. We are not liable for downtime except as required by applicable law.

16. Termination of Accounts

You may stop using the Platform at any time. You may request account closure by contacting contact@draftpe.com.

We may suspend or terminate your access immediately if you breach these Terms, create risk for us or other users, fail to pay amounts due, or where required by law. Upon termination, your right to use the Platform ceases, but sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will continue to apply.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory consumer protections, courts at Bengaluru, Karnataka shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.

18. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page will change when revisions are posted. Material changes may be communicated by email, on-site notice, or other reasonable means. Continued use after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Platform.
